1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern registration for, and use of, the www.rabhan.sa platform (“Platform”) operated by [Rabhan], a company organized under the laws of the Kingdom of Saudi Arabia (“Rabhan”).

By creating an account, submitting an application, or clicking “I Agree,” the individual or entity registering (“Customer,” “you,” or “your”) accepts these Terms in full and unconditionally, together with Rabhan's Privacy Policy and any Financing Agreement entered into separately.

If you do not agree to these Terms, you must not register on or use the Platform.

Mandatory Step in Registration; Electronic Acceptance.

Acceptance of these Terms is a mandatory step in the Platform's registration and onboarding process. Customer will not be able to proceed to the next step of registration, submit a financing application, or access the Services until Customer has reviewed these Terms and affirmatively indicated acceptance by clicking “I Agree,” “Approve,” or an equivalent action designated by the Platform.

Customer acknowledges and agrees that: (a) clicking “I Agree” / “Approve” constitutes an electronic signature and a legally binding acceptance of these Terms, with the same legal effect as a handwritten signature, in accordance with the Electronic Transactions Law of the Kingdom of Saudi Arabia (Royal Decree No. M/18, dated 8/3/1428H) and its implementing regulations, and the Evidence Law (Royal Decree No. M/43) insofar as it governs the admissibility of electronic records; (b) the fields displayed above and within these Terms (including Customer's full name, national ID or Iqama number, date, and other identifying details) are populated automatically by the Platform from the information Customer submitted during registration, and Customer is responsible for verifying their accuracy before clicking “I Agree” / “Approve”; and (c) Rabhan will retain a record of Customer's acceptance, including the date, time, and account identifier associated with the action, as evidence of Customer's consent to these Terms.

2. Definitions

  • “Platform” — the Rabhan website, mobile application, and associated digital services.
  • “Services” — Rabhan's Shariah-compliant financing facilitation (including Buy-Now-Pay-Later, Murabaha, and Ijarah structures), AI-based credit assessment, IoT monitoring, and related digital services made available through the Platform.
  • “Contractor” — an independent third-party installation, maintenance, or service provider listed or matched via the Platform, who is not an employee, agent, subsidiary, or partner of Rabhan for purposes of physical service delivery.
  • “Credit Data” — any credit report, credit score, financial history, or related information obtained from SIMAH (the Saudi Credit Bureau) or any other licensed credit bureau, financial institution, government body, or verification service.
  • “Customer Data” — any personal data, financial data, application data, usage data, or IoT telemetry data submitted by, or collected from, the Customer through the Platform.

3. Eligibility and Registration

Customer must be at least 18 years of age (or the applicable age of majority), a resident of the Kingdom of Saudi Arabia unless otherwise approved by Rabhan and permitted under applicable SAMA regulations for non-resident or non-SAR transactions, and legally capable of entering into binding financial obligations.

Registration requires submission of accurate personal, financial, and property or site information as prompted by the Platform, and Customer's completion of identity verification through NAFATH or an equivalent government-approved channel.

4. Accuracy of Customer Information — Customer Warranties

Customer represents and warrants that all information, documents, and data submitted to Rabhan — including without limitation identity information, income and employment information, property or site details, utility consumption data, and bank account information — is true, complete, current, and accurate as of the date of submission, and undertakes to promptly notify Rabhan of any material change.

Customer acknowledges that Rabhan's credit assessment, system design, financing offer, and any ROI, savings, or performance estimate is generated based entirely on the information Customer provides, supplemented by Credit Data obtained under Section 5.

Consequences of inaccurate, incomplete, or misleading information. If Customer provides information that is inaccurate, incomplete, false, or misleading — whether intentionally or negligently — Rabhan shall have no liability whatsoever for: (a) any resulting error in credit assessment, financing terms, system sizing, or savings or ROI projections; (b) any delay, rejection, suspension, or cancellation of the application or Services; or (c) any loss, damage, cost, or expense incurred by Customer or any third party as a result. Rabhan reserves the right, at its sole discretion, to reject, suspend, cancel, or unwind any application or financing arrangement on this basis, and to pursue recovery of any resulting loss from the Customer, including under applicable civil and criminal provisions of Saudi law concerning fraud and misrepresentation.

5. Consent to Credit Assessment and Data Verification

By registering, Customer expressly and irrevocably consents to Rabhan, and its authorized representatives, agents, and service providers, obtaining, requesting, retrieving, and reviewing:

  • (a) a credit report, credit score, and related information from SIMAH (the Saudi Credit Bureau);
  • (b) identity verification data via NAFATH, Yakeen (ELM), or an equivalent government-approved identity verification service;
  • (c) bank account, income, or transaction data via open banking channels, bank statements, or other financial verification services Customer separately authorizes; and
  • (d) any other report, data, or information reasonably required by Rabhan to assess Customer's creditworthiness, identity, or eligibility, whether obtained from a government body, licensed financial institution, credit bureau, or other lawful source.

This consent is granted for the purposes of credit assessment, fraud prevention, identity verification, risk management, regulatory compliance (including obligations to SAMA and applicable AML/CTF requirements), and ongoing account and portfolio monitoring for the duration of the customer relationship, and is provided in accordance with the Personal Data Protection Law (PDPL) of the Kingdom of Saudi Arabia. Customer may withdraw this consent at any time by written notice, subject to Rabhan's right to decline or suspend Services where the consent withdrawn is necessary to assess or maintain the financing relationship.

6. Nature of Services; No Guarantee of Contractor Matching or Service Delivery

Rabhan operates as a Shariah-compliant financing and digital-services platform. Rabhan is not a contractor and does not itself perform solar system installation, maintenance, or cleaning services. Physical installation and maintenance services, where applicable, are performed exclusively by independent, vetted Contractors operating on the Platform.

Rabhan does not guarantee that any Contractor will accept, undertake, or complete an installation or service request. Contractor acceptance is at the sole discretion of the relevant Contractor, based on factors including capacity, site conditions, commercial terms, and geographic coverage.

If no Contractor agrees to deliver the requested services, whether due to Contractor unavailability, site conditions, commercial reasons, or any other cause, Rabhan shall have no liability to Customer for non-delivery of installation or related physical services, and any financing arrangement conditioned on service delivery may be cancelled or unwound by Rabhan without penalty to Rabhan.

Notwithstanding non-delivery of physical services, Customer acknowledges and agrees that Rabhan retains the right to retain, use, and process the Customer Data already submitted or collected for the internal purposes described in Section 7, including reporting, business modelling, market analysis, credit-portfolio analytics, and product development, subject to the PDPL requirements referenced in Section 7.

7. Use of Customer Data

In addition to the purposes described in Section 5, Rabhan may use Customer Data — in aggregated, anonymized, or pseudonymized form wherever reasonably practicable — for internal reporting; regulatory reporting to SAMA and other competent authorities; business and financial modelling; market and portfolio analysis; product design and improvement; risk management; and other legitimate business purposes of Rabhan and the wider Alpha Power Group.

Where use or disclosure of Customer Data requires a specific legal basis under the PDPL — including any use materially exceeding the purposes disclosed at the point of collection — Rabhan will rely on Customer's consent under these Terms, contractual necessity, or another lawful basis recognized under the PDPL. Rabhan will not sell Customer Data to unrelated third parties for their own independent marketing purposes without Customer's separate, specific consent.

Rabhan will implement administrative, technical, and physical safeguards to protect Customer Data consistent with the SAMA Cyber Security Framework and the PDPL, and will retain Customer Data only for as long as necessary for the purposes above or as required by applicable record-retention rules (including the 10-year retention standard applicable to BNPL companies).

8. Nature of Financing; No Guarantee of Outcomes

Any solar or energy system sizing, ROI simulation, savings estimate, or performance projection provided through the Platform is an estimate only, generated using available data (including satellite, climate, and utility-consumption data), and is not a guarantee of actual performance, savings, or financial outcome. Actual results depend on factors outside Rabhan's control, including weather, grid conditions, equipment performance, and Customer's actual energy usage.

Financing approval, terms, and instalment structure are subject to Rabhan's credit policy, the SAMA BNPL Rules (including applicable per-consumer financing caps and maximum instalment periods), and Shariah Advisory Board approval where applicable, and are not guaranteed by any estimate shown prior to formal written approval.

9. IoT Monitoring and Remote Disconnection for Non-Payment

Where the financed solar or energy system includes IoT-enabled monitoring or remote-control functionality, Customer acknowledges and agrees that Rabhan (or its technology partners) may remotely monitor the performance, output, and connectivity status of the financed equipment for the duration of the financing relationship.

If Customer fails to pay any instalment or other amount due under the applicable Financing Agreement when due, and such failure continues beyond any notice or cure period set out in the Financing Agreement, Rabhan may remotely limit, suspend, or disable (“Disconnect”) all or part of the financed system's output or connectivity as a collateral-protection measure, in accordance with the Financing Agreement and applicable SAMA requirements.

Customer acknowledges that a Disconnection carried out in accordance with this Section and the Financing Agreement is a legitimate exercise of Rabhan's rights as financier of the equipment, and does not constitute a breach of these Terms, the Financing Agreement, or any other obligation owed to Customer.

Rabhan shall have no liability to Customer, and Customer shall have no claim of any kind against Rabhan, for any loss, damage, inconvenience, or consequential harm — including loss of power supply, loss of anticipated savings, spoilage, or business interruption — arising from a Disconnection carried out in accordance with this Section, except where the Disconnection was not carried out in accordance with the applicable Financing Agreement or violated mandatory Saudi consumer-protection requirements.

Rabhan will restore full functionality of the system promptly following receipt of the overdue payment (and any applicable reconnection fee disclosed in the Financing Agreement) and, where required by the applicable Financing Agreement or SAMA requirements, will not disable safety-critical functions of the system.

10. Disclaimer of Warranties

Except as expressly stated in these Terms or as required by mandatory Saudi law, the Platform and Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

Rabhan does not warrant the workmanship, quality, timeliness, or safety of any installation or service performed by a Contractor. Any claim relating to installation quality, defects, or safety must be directed to the relevant Contractor in the first instance, without prejudice to any statutory rights Customer may have against that Contractor.

11. Limitation of Liability

To the maximum extent permitted under the laws of the Kingdom of Saudi Arabia, Rabhan shall have no liability to Customer arising out of or in connection with the Platform, the Services, or these Terms.

In no event shall Rabhan be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or loss of anticipated savings, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits Rabhan's liability for gross negligence, wilful misconduct, or fraud, or for any liability that cannot lawfully be excluded or limited under the laws of the Kingdom of Saudi Arabia, including applicable consumer protection provisions and SAMA regulations governing BNPL companies.

12. Insurance and Risk of Loss

Rabhan is a financing and technology platform and is not an insurance provider. Rabhan does not insure Customer's property, the financed equipment, or the installation against loss, theft, fire, weather events, or other casualty.

Customer is solely responsible for obtaining and maintaining any insurance coverage Customer considers appropriate for the financed equipment and underlying property. Rabhan shall not be liable for any loss, damage, or destruction of equipment or property arising from environmental events, accidents, third-party acts, or any other casualty beyond Rabhan's reasonable control.

13. Force Majeure

Rabhan shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including without limitation: acts of God; natural disasters; extreme weather events; fire; flood; epidemic or pandemic; war, terrorism, or civil unrest; governmental action, regulatory change, or withdrawal of a licence or non-objection; strikes or labour disputes; failure or disruption of telecommunications, internet, cloud infrastructure, or the power grid; cyberattack; failure of a third-party service provider (including SIMAH, NAFATH, SITE, or banking partners); or any other event of Force Majeure.

Upon occurrence of a Force Majeure event, Rabhan's affected obligations shall be suspended for the duration of the event, and Rabhan will make reasonable efforts to notify affected Customers of the disruption and expected resolution.

14. Independent Contractor Relationship; No Liability for Third Parties

Contractors, equipment suppliers, and other third parties made available through or referenced on the Platform act as independent parties and are not employees, agents, partners, or joint venturers of Rabhan. Rabhan shall not be liable for the acts, omissions, negligence, insolvency, or default of any Contractor or third-party supplier.

15. Indemnification

Customer agrees to indemnify, defend, and hold harmless Rabhan, the Alpha Power Group, and their respective owners, shareholders, directors, officers, employees, representatives, agents, and subcontractors (collectively, the “Rabhan Parties”) from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Customer's breach of these Terms; (b) inaccurate, false, or misleading information provided by Customer; (c) Customer's misuse of the Platform; (d) Customer's violation of applicable law; or (e) Customer's failure to pay any instalment or other amount due when payable, and any consequences arising from that failure, including any Disconnection carried out in accordance with Section 9.

16. Suspension and Termination

Rabhan may suspend or terminate Customer's account or any pending application, at its sole discretion and without liability to Rabhan, in circumstances including: suspected fraud or misrepresentation; failure to provide requested verification documents; adverse Credit Data; non-payment; violation of these Terms; or as required by SAMA or another competent authority.

17. Shariah Compliance

Financing structures offered via the Platform are designed to comply with Shariah principles as reviewed by Rabhan's Shariah Advisory Board [appointment status pending internal confirmation]. Nothing in these Terms shall be construed to involve interest (riba); all financing charges are structured as profit margins or rental payments under Murabaha or Ijarah structures, as applicable, and disclosed to Customer prior to financing approval.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws and applicable regulations of the Kingdom of Saudi Arabia, including SAMA regulations applicable to BNPL companies. The Arabic-language version of these Terms shall govern in the event of any conflict with a translated version.

Any dispute arising out of or relating to these Terms or the Services shall first be addressed through Rabhan's internal complaints-handling process. Unresolved disputes shall be submitted exclusively to the competent courts of the Kingdom of Saudi Arabia having jurisdiction over finance-company or consumer disputes, including the Committee for the Resolution of Banking Disputes or its successor body, where applicable.

19. Amendments

Rabhan may amend these Terms from time to time. Material changes will be notified to Customer through the Platform or by other reasonable means, and continued use of the Platform after the effective date of the amended Terms constitutes acceptance of those Terms.

20. Severability; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with any Financing Agreement and Privacy Policy referenced herein, constitute the entire agreement between Customer and Rabhan regarding the subject matter of these Terms.
